These Terms of Service ("Terms") govern your use of the AidlyAI website and the engagement of AI, web, mobile, custom software, IT consultancy, cloud, and data services provided by AidlyAI Private Limited ("AidlyAI", "we", "us"), a company based in Chennai, Tamil Nadu, India. By using our website or engaging our services, you agree to these Terms.

1. Our Services

AidlyAI provides AI development, web and mobile app development, UI/UX design, IT consultancy, custom software development, cloud & DevOps, data analytics, and e-commerce solutions. The specific scope, timeline, and cost of any engagement will be set out in a separate written proposal or contract agreed with you before work begins.

2. Use of This Website

You agree to use this website only for lawful purposes. You may not use it in any way that could damage, disable, or impair the site, or interfere with any other party's use of it.

3. Discovery Calls and NDAs

We sign a mutual Non-Disclosure Agreement before any project details are discussed. Any information shared during discovery calls or through our contact form is treated as confidential in accordance with that agreement.

4. Project Engagements

Once a proposal is accepted, a separate services agreement or statement of work will govern the specific engagement, including deliverables, milestones, fees, and payment schedule. These Terms apply generally to your use of our website and do not replace a signed project agreement.

5. Intellectual Property

Unless otherwise agreed in writing, all code, designs, and documentation delivered as part of a completed and fully paid engagement belong to the client. AidlyAI retains no ownership rights over client deliverables once payment is complete, though we may retain the right to reference general, non-confidential aspects of a project for portfolio purposes unless you request otherwise.

6. Payment Terms

Payment terms, including deposits, milestones, and invoicing schedules, are defined in the individual project proposal or contract. We issue proper invoices for all engagements.

7. Limitation of Liability

To the fullest extent permitted by law, AidlyAI shall not be liable for any indirect, incidental, or consequential damages arising from the use of this website or our services, beyond the fees paid for the specific engagement giving rise to the claim.

8. Termination

Either party may terminate an active engagement in accordance with the terms set out in the relevant project agreement. Fees for work completed up to the point of termination remain payable.

9. Governing Law

These Terms are governed by the laws of India, and any disputes will be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of our website after changes are posted constitutes acceptance of the revised Terms.
